1. Scope of the Code
This Code applies to all individuals representing the Company, including directors, officers, employees, contractors, representatives, and agents, regardless of location or employment status.
All individuals are expected to comply fully with this Code and related Company policies. Each person must confirm that they have read and understood the Code. Any questions should be referred to the Legal Department or Human Resources. Breaches of this Code are considered serious and may result in disciplinary action, termination of contracts, or legal proceedings.
2. Corporate Governance
The Board of Directors is guided by principles of honesty, transparency, accountability, and integrity. Its role is to set the Company’s strategic direction and ensure effective oversight through strong governance structures.
Senior Management is responsible for daily operations, ensuring compliance with this Code, relevant policies, and all applicable international and regional laws. Specialized committees — including Audit, Governance, Compensation, and ESG Committees — support the Board in monitoring compliance, evaluating risks, and ensuring ethical practices.
3. Conflicts of Interest
Employees must act in the best interests of the Company. Any personal interest that could conflict with professional duties must be declared immediately to a Manager, HR, or Legal. Transparency and early disclosure are essential to maintaining trust.
4. Corporate Opportunities
Employees must advance the Company’s interests and not use Company property, information, or their position for personal gain. Any uncertainty regarding opportunities or potential misuse should be raised with Management, HR, or Legal.
5. Related Party Transactions
Any transaction involving employees, directors, officers, or their affiliates must be conducted on fair and transparent terms. Such transactions require prior review and approval by the Audit Committee and independent directors to ensure compliance with governance standards.
6. Confidentiality and Privacy
Confidential information must be safeguarded at all times, even after leaving the Company. This includes business plans, financial results, client data, and non-public information shared by third parties. Sharing information externally requires authorization and, where necessary, a signed confidentiality agreement.
7. Honest and Fair Dealing
The Company conducts all business with fairness, integrity, and professionalism. Fraud, corruption, and bribery are strictly prohibited. Employees must never misuse privileged information or engage in manipulation. Accepting or offering gifts is only permitted if of nominal value, culturally appropriate, and aligned with business customs.
8. Protection and Use of Company Assets
Company resources — both tangible and intangible — must be used responsibly and solely for business purposes. Employees are expected to prevent misuse, waste, or unauthorized disclosure of Company property or data.
9. Compliance with Laws and Regulations
All Employees must comply with applicable local, regional, and international laws and regulations, including those relating to financial reporting, trade, sanctions, anti-corruption, and workplace conduct.
10. Trading in Securities
Employees must not trade or advise others to trade in Company securities while in possession of material, non-public information. Insider trading is a serious offense under both regional and international laws. Employees should consult the Legal Department when in doubt.
11. Transparency and Disclosure
The Company is committed to providing timely, accurate, and transparent disclosures in financial and operational reports. False or misleading entries, concealment of material facts, or misrepresentation will not be tolerated.
12. Human Rights and Labor Standards
The Company respects human dignity, Islamic values, and international human rights standards. Forced labor, child labor, and human trafficking are strictly prohibited. All operations and supply chains must comply with fair labor practices.
13. Equal Opportunity and Respect
The workplace must be free from discrimination, harassment, and intimidation. Respect for diversity, religion, and cultural values is essential. Any form of misconduct should be reported immediately to HR or Management.
14. Health and Safety
The Company prioritizes the safety and well-being of its employees and stakeholders. All employees must comply with the Company’s Health & Safety Policy and contribute to creating a safe and secure workplace environment.
15. Environmental Responsibility
As a responsible Middle Eastern enterprise, the Company is committed to environmental stewardship. We comply with all safety and environmental regulations and continually strive to minimize our footprint through innovation, efficiency, and sustainable practices.
16. Whistleblowing and Reporting Misconduct
Employees and third parties are encouraged to report suspected misconduct — including fraud, corruption, insider trading, or human rights abuses — without fear of retaliation. Reports can be made confidentially via designated channels such as HR, Legal, or the Audit Committee.
17. Non-Retaliation Policy
The Company strictly prohibits retaliation against any individual who reports a concern in good faith. Employees are protected from dismissal, demotion, harassment, or discrimination for raising legitimate issues.
